Banking and Finance
We have substantial experience in representing banks, life insurers, commercial finance companies, equipment lessors and other financial institutions in the extension of term loans, revolving credits, equipment financing, floor plans, letters of credit and other credit facilities, including asset based lending. We also represent participating banks in connection with the review of documentation on syndicated credits, and are pleased to serve as local counsel on multi-state transactions with respect to document review and issuance of opinion letters on matters of local law involving Tennessee collateral.
Our experience includes a broad range of credit experience, including the financing of aircraft, rail cars and other rolling stock, and also funding the long-term debt, working capital and/or acquisition financing needs of our clients' customers across a variety of industries. While we typically work with senior lenders, our work on their behalf often involves the negotiation and documentation of intercreditor and/or subordination agreements, where the credit needs of the customer may be split among financial institutions and/or involve mezzanine financing or other subordinate debt. With a focus on middle market transactions, we also have the skill sets, efficiencies and rate structure to assist our bank clients on smaller credits where, due to size, policy requires the use of outside counsel to document and close the loan.
Our industry experience includes the representation of lenders in structuring, documenting and closing transactions across a broad range of industries and businesses, including bank holding companies and public utilities, and also companies in the automotive, broadcast, chemical, food processing, commercial real estate, construction, consumer finance, consumer product, defense contracting, healthcare, hedge fund, logistics, manufacturing, medical device, retail, senior housing and transportation industries.
